Smart Capital, a “permanent capital” industrial holding company specializing in Private Equity and Private Investments in Public Equity, has—through its subsidiary Smart4Mechanics—acquired a 48.9% stake in Officina Ci-Esse, a company active in the precision mechanical machining sector.
The transaction, fully aligned with the strategy announced by Smart Capital at the time of its IPO, aims to create a sector-focused platform capable of aggregating Italian excellences in the field of mechanics, with the objective of establishing an Italian player that can act as a consolidator in a highly fragmented market.
Smart Capital was assisted on the legal aspects related to due diligence and transaction documentation by Campa Avvocati, with a team composed of partners Matteo Aldeghi and Massimo Campa and Associates Matilde Galli and Mattia Ernesti, coordinated by the in-house legal department (Francesco Arlati).
Palumbo & Partners, represented by Dr. Ugo Palumbo, acted as tax advisor to Smart Capital.
The Sellers were assisted on legal matters by the law firm Ratti & Fogliani Associati, with a team composed of partner Enrico Fogliani and Paola Puracchio.
Ethica Group, with a team comprising Filippo Salvetti, Alessandro Corina, and Veronica Marra, served as financial advisor to Smart Capital, while Studio Spaggiari Pivetti & Partners, supported by Cristina Spaggiari, assisted the Sellers.
